SPORTS MUSEUM OF AMERICA CONTEST AND SWEEPSTAKES OFFICIAL RULES

ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. The Sports Museum of America "Favorite Sports Memorabilia Contest (the "Contest") and Visit Sports Museum of America Sweepstakes" (the "Sweepstakes") are open to legal residents of the United States of America, who are eighteen (18) years or older at the time of entry. Employees, officers, and directors (including immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of the Sports Museum of America ("SmA") (SmA is sometimes referred to herein as the "Sponsor"), its parents, affiliated companies, subsidiaries, sponsors, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Contest/Sweepstakes are not eligible to participate. The Contest/Sweepstakes is subject to all applicable federal, state, local laws and regulations. Void where prohibited or restricted by law.

HOW TO ENTER: The Contest/Sweepstakes begins at 9:00 am Eastern Time ("ET") on February 13, 2008 and ends at 7:00 pm ET on March 7, 2008 ("Entry Period"). There are two ways to enter: online, or by mail. No other method of entry will be accepted. Limit (1) one entry per person/e-mail address, regardless of method of entry.

1. Online Method During the Entry Period go to www.sportsmuseum.com/fans to access the online entry form for the Contest/Sweepstakes. By submitting your completed online entry form and uploading a photo of your favorite sports artifact as directed, you will be automatically entered in the Contest/Sweepstakes. Entrants must complete all non-optional data requested on the online entry form, including a description of your artifact. Incomplete entries are void. Online entrants to the Contest/Sweepstakes will be given the option to receive commercial e-mails from www.sportsmuseum.com; however, eligibility to participate in the Contest/Sweepstakes is not dependent upon entrant's consent to receive such e-mails.
2. Mail-in Method: If you do not wish to enter online, you may enter the Contest/Sweepstakes by hand-printing your name, address, city, state and zip code, day & evening telephone number (including area code), date of birth, e-mail address (optional) on a piece of paper and mail it together with a photo (4x6 print) and description of your favorite sports artifact to: The Sports Museum of America, Attn: Open Letter to Sports Fans, 26 Broadway, New York, NY 10004. Sponsor will use e-mail addresses provided via the Mail-in entry method for prize notification purposes only; however, eligibility to participate in the Contest/Sweepstakes is not dependent upon entrant's provision of this information. Mail-in entries must be received by Sponsor by March 7, 2008. Mail-in entries become the property of the Sponsor and will not be returned.
3. Entering Only the Sweepstakes: Any Entrant may enter the Sweepstakes portion of the program only, without entering the Contest portion, by submitting all entry information online or by mail, but not submitting any sports memorabilia/artifact photo or description. By doing so, the entrant will only be eligible to win a Second Prize.

CONTEST ARTIFACT SELECTION AND RANDOM SWEEPSTAKES DRAWING: One (1) Grand Prize Winner and fifty (50) First Prize Winners of the sports artifact Contest will be selected by a panel of Museum employees from the Sports Museum of America on or about March 5, 2008 from all eligible entries received by SmA. The sports artifact Contest is not a game of chance and winners are in the discretion of Sponsor. In addition, fifty (50) Second Prize Winners will be selected in a Sweepstakes random drawing conducted by SmA officials from all eligible entries for the Contest and the Sweepstakes (i.e., though all Contest entrants are eligible for the Sweepstakes, Sweepstakes entrants are not required to enter the Contest). Odds of winning Sweepstakes depend on the total number of eligible entries received. The decisions of Sponsor, including the selection of Contest and Sweepstakes Winners, are final and binding on all matters related to this Contest and Sweepstakes. All prizes will be awarded. Limit one (1) Prize per person, family or household.

One Grand Prize memorabilia item will be selected based on photo submissions and will be displayed in a Gallery at the Sports Museum of America for the Grand Opening in May, 2008. Grand Prize Winner will receive a trip for himself/herself and three guests. Prize includes transportation (air/train if necessary) for four, hotel accommodations (one standard room with two double beds; not including meals, gratuities or other extras) for two nights in New York City in early May, 2008 for the Sports Museum of America's Grand Opening. Details of the trip itinerary will be finalized upon completion of the Contest/Sweepstakes. In addition, the Grand Prize includes the opportunity for the winner and three guests to attend Opening Day / Night festivities and participation in a photo ceremony to present the Winner's memorabilia item to the Museum. (Estimated Retail Value of Contest Grand Prize: $3,000.) Fifty (50) Contest First Prizes Will Be Awarded.Fifty First Prize memorabilia items will be selected based on photo submissions and will be displayed in a Gallery at the Sports Museum of America for the Grand Opening in May, 2008. Each First Prize Winner will receive a family four pack of tickets to visit SmA and one SmA gift bag. Tickets valid for one calendar year. (Total Estimated Retail Value of Contest First Prizes: $5,950.) Fifty (50) Sweepstakes Second Prizes Will Be Awarded. Each Second Prize Winner will receive two (2) admission tickets to the Sports Museum of America. Second Prize Winners will be selected at random from all Contest and Sweepstakes entrants. Tickets will be valid for one calendar year. (Total Estimated Retail Value of Second Prizes: $2,700.) Each Winner is fully responsible for any and all applicable federal, state and local taxes (including income and withholding taxes). All costs and expenses associated with Prize acceptance and use not specified herein as being provided, including but not limited to lodging, transportation costs, meals, taxes (including income taxes) and gratuities and other expenses incurred by accepting the Prize are the sole responsibility of the Winner. Winner's companions must be of legal age of majority in their jurisdictions of residence, unless traveling with a parent or guardian. Winner agrees to comply with all applicable regulations in connection with the Prize. The Released Parties (defined below) will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the closing of the Museum on a specific date.

The Prizes are non-transferable and non-assignable, with no cash redemptions except at Sponsor's sole discretion. There will be no substitutions for the Prizes except by Sponsor who reserves the right to substitute a prize of comparable or greater value at its sole discretion.

NOTIFICATION: The potential Winners will be notified by e-mail and/or telephone by SmA staff and may (in Sponsor's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event that a potential Winner does not respond to such Prize Notification within three (3) days of date of notification, a disqualification will result and an alternate Winner shall be chosen from among all remaining eligible entries. Each potential Winner will be required to execute and return an Affidavit of Eligibility and Release of Liability and, unless prohibited by law, Publicity, within five (5) days of date of receipt. A disqualification will result and an alternate potential Winner will be randomly selected from among all remaining eligible entries if all required documents are not properly executed and returned within the specified period of time. Refusal or return of such documents as non-deliverable or potential Winner's noncompliance with these Official Rules will also result in disqualification and cause an alternate Winner to be chosen from among all remaining eligible entries. In addition, the Grand Prize and First Prize Winners, who will be providing (on loan for a period of one calendar year) artifact memorabilia for the Museum, must deliver the selected sports artifact to SmA by the date specified by SmA and must sign and adhere to the terms of an artifact loan agreement to be furnished by SmA. If requested, Winner must also provide a certificate of authenticity or other official documentation. No gifts will be accepted by the Sports Museum of America.

WAIVER OF LIABILITY/PUBLICITY RELEASE: By participating in the Contest/Sweepstakes and submitting an entry, all entrants agree to (i) be bound by these Official Rules, including all entry requirements, and (ii) waive any and all claims against the Sponsor, SmA, National Sports Attraction, LLC, and each of their respective parents, affiliated companies, subsidiaries, licensees, sponsors, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Contest/Sweepstakes, and all of their respective officers, directors, employees, agents and representatives (collectively, "Released Parties") for any injury, damage or loss that may occur, directly or indirectly, in whole or in part, from the participation in the Contest/Sweepstakes or from the receipt or use of any Prize or any travel or activity related to the receipt or use of any Prize. By acceptance of Prize, each Winner grants to Sponsor, and their respective designees the right to publicize such Winner's name, city and state/province of residence and/or likeness and the likeness of any artifact submitted by the Winner in any medium now or hereafter devised worldwide without limitation and without additional compensation or consideration, notification or permission, unless prohibited by law

GENERAL CONDITIONS: Released Parties are not responsible for printing or typographical errors in any Contest/Sweepstakes-related materials; stolen, late, misdirected, lost, damaged, garbled, delayed, incomplete, inaccurate, postage due or illegible entries or mail. Contest/Sweepstakes entries generated by a script, macro or other mechanical or automated means will be disqualified. The Sponsor, and its employees, agents and representatives are not responsible for incorrect, inaccurate transcription or loss or delay of entry or prize reply information, or any viruses transmitted to computers of participants via the Internet, or for any technical or human errors associated with the Contest/Sweepstakes. If, in the exclusive judgment of Sponsor, this promotion becomes compromised in any way, the Sponsor reserves the right to withdraw the promotion offer, cancel any method of entry, to void any entries submitted fraudulently or select Winners from all eligible entries received prior to act that compromised the promotion.

Persons who tamper with or abuse any aspect of the Contest/Sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of this Contest/Sweepstakes is unlawful and subject to legal action by the Sponsor. Sponsor shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to the Contest/Sweepstakes, and to resolve all disputes in their sole discretion. Released Parties (i) make no warranty, guaranty or representation of any kind concerning any Prize, and (ii) disclaim any implied warranty. All disputes will be resolved under applicable U.S. laws in the County of New York, State of New York.

Sponsor reserves the right, in their sole discretion, to cancel or suspend the Contest/Sweepstakes should virus, bugs, unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of the Contest/Sweepstakes. In the event of cancellation, Sponsor may elect to identify Winners and award the Prizes by way of random drawing from among all non-suspect, eligible entries received up to the time of such cancellation.

All online entries must include a valid e-mail address for the entrant. In the event of dispute as to the identity or eligibility of a Winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. The "Authorized Account Holder" is the person to whom the applicable Internet service provider or other organization (such as business or educational institution) has assigned the e-mail addresses for the domain associated with the submitted e-mail address.

WINNERS' LIST: For a list of Winners (available after April 1, 2008), mail a self-addressed stamped envelope to: The Sports Museum of America, Attn: Open Letter to Sports Fans, 26 Broadway, New York, NY 10004. Winner's list requests must be made by March 30, 2008.
